Terms of Service

1. Acceptance of terms

By accessing or using StudyPack at studypack.app (the "Service"), creating an account, or completing a purchase, you agree to be bound by these Terms of Service ("Terms"). The Service is provided by Sharpbase Technologies LLC ("we," "us," or "our"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Sharpbase Technologies LLC.

2. Description of service

StudyPack is an AI-powered learning tool that generates study materials — summaries, key concepts, timestamped insights, quizzes, flashcards, and AI chat — from YouTube videos, uploaded documents, and pasted text. The Service is offered through both a free tier and paid subscription plans. The Service is provided as-is and may be updated, modified, or discontinued at any time without prior notice.

3. Account registration

To use the Service, you must sign in with a Google account. By signing in, you authorize us to access your name, email address, and profile image from Google for account creation and authentication purposes. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Subscriptions, payments & billing

StudyPack offers a free tier with limited usage and a paid "Pro" subscription with expanded features. By subscribing to a paid plan, you agree to the following:

  • Recurring billing: Pro subscriptions are billed on a recurring basis (monthly or yearly) and will automatically renew at the end of each billing period at the then-current price unless canceled before the renewal date.
  • Payment processing: All payments are processed securely by Stripe, Inc. We do not store your credit card details. By providing payment information, you represent that you are authorized to use the payment method.
  • Price changes: We may change subscription prices at any time. Price changes take effect at the start of your next billing cycle, and we will notify you in advance.
  • Taxes: Prices may not include applicable taxes. You are responsible for any taxes associated with your subscription.

5. Cancellation

You may cancel your Pro subscription at any time through the Stripe customer portal accessible from your profile page. Upon cancellation, your subscription remains active until the end of the current billing period. After that, your account reverts to the free tier. No partial refunds are issued for unused time within a billing period.

6. Refund policy

All subscription payments are non-refundable. Because the Service delivers AI-generated digital content immediately upon use, refunds are not provided once a billing cycle has begun and the Service has been accessed. By subscribing, you acknowledge and agree that:

  • Digital content is delivered instantly and consumed upon generation.
  • You have reviewed and understand the features of the plan before purchasing.
  • The proper remedy for dissatisfaction is cancellation of your subscription, not a chargeback or payment dispute.
  • If you experience a technical issue preventing you from using the Service, please contact us at support@studypack.app and we will work to resolve the issue promptly.

7. Chargebacks & payment disputes

You agree to contact us at support@studypack.app to resolve any billing questions or disputes before filing a chargeback or payment dispute with your bank or credit card company. Filing a fraudulent or unwarranted chargeback constitutes a breach of these Terms and may result in:

  • Immediate termination of your account and all associated data.
  • Permanent ban from the Service.
  • Collection efforts for the disputed amount plus any fees incurred.
  • Reporting to fraud prevention databases.

We maintain detailed records of account activity, subscription consent, and service delivery to contest any unwarranted disputes.

8. Free tier & usage limits

Free-tier users receive a limited number of study pack generations per month and AI chat messages per day. These limits may change at any time. We reserve the right to restrict or throttle usage that we determine to be abusive or excessive.

9. Acceptable use

You agree to use the Service in compliance with all applicable laws and regulations. You may not:

  • Use the Service for any unlawful purpose.
  • Attempt to reverse-engineer, decompile, or exploit the Service.
  • Abuse, overload, or interfere with the Service's infrastructure.
  • Use automated tools to scrape or harvest content at scale.
  • Share, resell, or redistribute your account access to third parties.
  • Circumvent usage limits, rate limits, or access restrictions.
  • Upload malicious files or content designed to exploit the Service.

10. Account termination

We reserve the right to suspend or permanently terminate your account, without prior notice or liability, for any reason including but not limited to: violation of these Terms, fraudulent activity, filing unwarranted chargebacks, abusive behavior, or any conduct we determine to be harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately, and we may delete your data at our discretion. No refund is owed upon termination.

11. Intellectual property

The Service, its design, branding, and underlying technology are the property of Sharpbase Technologies LLC. Generated study packs are derived from user-submitted content and AI processing. The original source content (YouTube videos, uploaded documents) remains the intellectual property of its respective creators. You retain ownership of any original content you upload.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT. AI-generated study materials are for educational assistance only and should not be relied upon as the sole source of information. You use the Service at your own risk.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHARPBASE TECHNOLOGIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sharpbase Technologies LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload or submit to the Service.

15. Dispute resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation by contacting us at support@studypack.app. If the dispute cannot be resolved within thirty (30) days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the jurisdiction where Sharpbase Technologies LLC is organized. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16. Changes to these terms

We reserve the right to modify these Terms at any time. The effective date at the top of this page indicates when they were last revised. For material changes, we will make reasonable efforts to notify you (for example, via email or a notice within the Service). Continued use of the Service after changes constitutes acceptance of the revised Terms.

17. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
